These General Terms and Conditions (AGB) govern the hosting service that Cryptron UG (haftungsbeschränkt) (“LumiHash”, “we”, “us”) provides to its customers. They form part of every contract concluded with us. Please read them carefully.
1. Scope
These Terms apply to all contracts for the hosting and operation of Bitcoin mining hardware between Cryptron UG (haftungsbeschränkt) (“LumiHash”) and its customers (“you”). Deviating terms of the customer do not apply unless we expressly agree to them in text form.
The service is available to consumers and businesses in Germany, elsewhere in the European Union, and in other countries where we are permitted to offer it. We do not conclude contracts with customers in countries subject to an EU embargo. The version of these Terms in force at the time the contract is concluded applies.
Only persons aged 18 or over with full legal capacity may enter into a contract with us. By concluding the contract you confirm that you meet this requirement.
2. Nature of the service — hosting, not a game of chance
LumiHash provides a technical hosting and operation service: we house, power, cool, connect and maintain open-source Bitcoin mining hardware (for example Bitaxe or NerdAxe devices) that is assigned to you, and we point its computing power (hashrate) at the Bitcoin network on your behalf. Your monthly fee is the consideration for this service and the associated infrastructure. It is not a stake, wager or entry fee. The payment does not entitle you to any guaranteed profit or return; whether block rewards arise at all, and in what amount, depends solely on the technical and network conditions of the Bitcoin network.
Any block reward that the hardware assigned to you produces is the direct economic output of the proof-of-work computation performed by that hardware and is paid by the Bitcoin protocol itself — it is not a prize that LumiHash draws, awards or pays out from a pool of stakes. The service is therefore neither a lottery nor any other public game of chance within the meaning of § 3 of the German State Treaty on Gambling (Glücksspielstaatsvertrag), and it is not organised, marketed or intended as such.
The service is not structured as a capital investment, security, asset investment (Vermögensanlage) or other financial instrument. LumiHash promises and guarantees no financial return and provides no investment advice, portfolio management or other financial service. No guaranteed or contractually assured financial return is promised or owed. Any block rewards are an uncertain result of the technical service and are not held out as a yield. LumiHash provides hosting and operation of physically assigned ASIC mining hardware — nothing more.
The hashrate stated for a tier is a target value based on the assigned hardware. The actual delivered hashrate may vary — as a rule by up to 20% — depending on the specific device, its firmware, chip binning, operating temperature and network conditions. Such variation within this range is not a defect and gives rise to no price reduction or other claim.
3. Conclusion of contract & hardware sourcing
Our presentation of tiers on the website is not a binding offer but an invitation to submit an enquiry. A contract is concluded only once we confirm your order in text form (e.g. by email).
If suitable hardware is in stock, we typically bring the device assigned to you online within a few days. If demand is high and stock is limited, sourcing the hardware can take approximately one to two weeks. We will inform you of the expected lead time.
4. Prices, payment & pool fee
The monthly hosting fee is the amount stated for the selected tier at the time of contract conclusion. Prices are shown in euros and include statutory VAT where applicable. The fee is due monthly in advance.
The hardware assigned to you remains the property of LumiHash for the duration of the hosting relationship. In addition, the mining pool operated by LumiHash retains a transparent fee of 5% of any block reward produced by your hardware; the remaining 95% is paid out directly to the Bitcoin wallet address you specify. The monthly hosting fee is owed independently of whether any block reward is produced.
Payments and recurring subscription billing are handled by our payment service provider PayPal (Europe) S.à r.l. et Cie, S.C.A. You may pay monthly — subject to the three-month minimum term under Section 6 — or annually in advance at a 20% discount. PayPal charges the selected plan to the payment method stored in your PayPal account at the start of each billing period. Your statutory rights of termination and withdrawal under Sections 6 and 7 remain unaffected.
After the prepaid year, an annual subscription is not billed annually again: it continues for an indefinite period on a monthly basis and may be cancelled monthly under Section 6. The monthly price remains the discounted annual monthly rate (20% below the regular monthly price) — moving to monthly billing does not increase what you pay.
Price adjustment: we may adjust the hosting fee for the future to the extent that our costs for energy, data-centre space, hardware or payment processing change. Any adjustment is limited to the extent of that cost change; cost reductions are passed on to the same extent. We will notify you of an increase in text form at least six weeks before it takes effect. Until it takes effect you may terminate the contract with effect from the date of the increase — including during the minimum term; we will point this out separately in the notice. Discounts and promotional prices granted to you remain unaffected.
Late payment: if you are in default with a payment due, statutory default interest applies. We will first send you a reminder in text form setting a period of fourteen (14) days. If payment is still not made, we may temporarily suspend the hosting service (the hardware assigned to you is switched off) until the arrears are settled; your payment obligation for the current billing period remains. If payment remains outstanding for more than thirty (30) days, we may terminate the contract for good cause without notice and put the hardware to other use.
5. Block rewards & non-custody
LumiHash is non-custodial: each device assigned to you mines under your own wallet address as its identifier (stratum user “<your wallet address>.<serial>”). The pool builds the block template so that the block's coinbase transaction assigns 95% directly to your address and 5% to LumiHash's address as the pool fee. If your hardware finds a block, the Bitcoin network pays both shares straight out of that single transaction. The bitcoin therefore never comes into our possession or control at any point. We never take custody of your Bitcoin and cannot access, freeze or reverse payouts. You are solely responsible for providing a correct, functioning wallet address and for the security of your keys. We are not liable for rewards lost due to an incorrect or inaccessible address provided by you.
6. Term & termination
The minimum initial term depends on the billing method you choose and begins when the hardware assigned to you first goes online: three (3) months for monthly billing, or the prepaid year — twelve (12) months — for annual billing.
After the minimum term, the contract continues for an indefinite period and may be terminated by either party with one (1) month's notice. It is not automatically extended by a further fixed term.
You can cancel at any time using the cancellation button at https://app.lumihash.com/cancel — reachable without logging in — or informally in text form (e.g. email). We will confirm receipt and the date of termination in text form. The right of both parties to terminate for good cause without notice remains unaffected.
7. Right of withdrawal for consumers
If you are a consumer, you have the right to withdraw from this contract within fourteen (14) days without giving any reason. The withdrawal period is fourteen days from the day the contract is concluded. To exercise it, inform us (Cryptron UG (haftungsbeschränkt), Am Sonnenhang 9, 67697 Otterberg, Germany; hello@lumihash.com) of your decision by a clear statement (e.g. a letter or email). Sending the notice before the period expires is sufficient to meet the deadline.
Beginning of performance: the hosting service begins before the end of the withdrawal period only if you separately and expressly request it during checkout. You do so there by ticking a dedicated, not pre-ticked box confirming that we should begin performance before the withdrawal period ends and that you owe pro-rata value compensation if you withdraw; we record the time of that declaration. Without it, performance begins only after the withdrawal period has expired. Consequences of withdrawal: we will reimburse all payments received from you without undue delay and no later than fourteen days after we are informed. If you withdraw after performance has already begun, you owe us reasonable value compensation for the service already provided up to the point of withdrawal, calculated pro rata to the agreed fee. The right of withdrawal expires if the service is fully performed and its performance only began after your express consent together with your acknowledgement that you lose the right of withdrawal upon complete performance.

8. Availability & maintenance
We operate the hosting infrastructure with reasonable care and aim for high availability, but we do not warrant uninterrupted operation. Downtime may occur due to maintenance, hardware faults, network or pool outages, energy supply issues or events beyond our reasonable control (force majeure). Short, technically necessary maintenance windows and temporary outages caused by hardware, network, power-supply or pool faults give rise to no claim to uninterrupted availability, in so far as we are not responsible for them.
9. Risk disclosure
The hardware assigned to you takes part in solo mining. No mining proceeds are distributed proportionally among several participants. The mining pool used performs the technical coordination: it builds the block templates (including the coinbase split described in Section 5), supplies them to your hardware, and relays a block found by it to the Bitcoin network. Whether a block is valid, and the payout itself, is decided by the Bitcoin network alone. Solo mining is highly speculative: across the entire global network a block is found roughly every ten minutes, so the statistical probability that the hardware assigned to you finds a block in any given period is very low — it is entirely possible that it never does. Block rewards are not guaranteed; there is no certainty that any block reward will arise at all.
Network difficulty, the Bitcoin exchange rate, hardware availability and energy costs can change at any time and are outside our control. Your monthly hosting fee is owed regardless of whether any reward is produced. Nothing on our website or in these Terms is financial, tax or investment advice.
10. Liability
We are liable without limitation for intent and gross negligence, for injury to life, body or health, and under the German Product Liability Act. For the slightly negligent breach of an essential contractual obligation (an obligation whose fulfilment makes the proper performance of the contract possible in the first place and on which you may regularly rely), our liability is limited to the foreseeable, contract-typical damage. Any further liability is excluded.
We are not liable for fluctuations in the value of Bitcoin, for the absence of block rewards, or for losses resulting from an incorrect wallet address or compromised keys provided or controlled by you.
11. Taxes
You are responsible for declaring and paying any taxes on block rewards under the law applicable to you. We do not provide tax advice.
12. Changes to these Terms
We may amend these Terms with effect for the future where necessary, for example due to changes in the law or our service. We will notify you of material changes in text form at least six weeks before they are due to take effect. Where your express consent is required, we will obtain it. You may terminate the contract before the changes take effect.
13. Governing law, jurisdiction & severability
Consumer dispute resolution: we are neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board (§ 36 VSBG).
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, mandatory consumer-protection provisions of their country of habitual residence remain unaffected. If you are a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction is our registered office.
Should any provision of these Terms be or become invalid, the validity of the remaining provisions is unaffected. This English text is a convenience translation; in case of discrepancy the German version prevails.
